CHANGE IN CONTROL AND DEFENSIVE MEASURES

In the event of a change in control of the company, employee options granted can be exercised without regard to the three-to- five-year blocking period. Other than that, there are no special agreements concerning a change in control that would favor either the members of the Board of Directors, Group Management, or any other company management members. The Articles of Association of incorporation make no special provision “opting up” pursuant to article 135 Finfra 6.
